This agreement is entered between the user and Meme Shorts regarding the recharge services provided on the Meme Shorts platform.
Thank you for using Meme Shorts ("we", "us", "our"). By accepting this agreement, either by accessing or using a service, or authorizing or permitting any agent or end-user to access or use a service, you agree to be bound by this agreement. If you are entering into this agreement on behalf of a company, organization or another legal entity (an "entity"), you are agreeing to this agreement for that entity and representing to Meme Shorts that you have the authority to bind such entity and its affiliates to this agreement, in which case the terms "VIP members", “people who recharge coins on Meme Shorts”, "you", "your" or a related term herein shall refer to such entity and its affiliates. If you do not have such authority, or if you do not agree with this agreement, you must not accept this agreement and may not use any of the services.
1.1 Meme Shorts provides internet-based recharge services (hereinafter referred to as “recharge services”) as stipulated in this agreement and its periodically updated operational rules. Users wishing to recharge must read and accept all terms of this agreement and follow on-screen prompts.
1.2 This agreement also incorporates the "Meme Shorts Registered User Service Agreement." Upon its official release, it becomes an integral part of this agreement, which users must also adhere to.
1.3 By proceeding with the recharge process after reading this agreement, the user acknowledges full acceptance of its terms. Meme Shorts may update these terms and conditions by posting the changes on the relevant pages. If users do not agree with the agreement or its modifications, they are advised to stop using the Meme Shorts services.
2.1 Services under this agreement refer to the recharge platform services of Meme Shorts. Specifically, Meme Shorts provides a platform where users can recharge for products or services for themselves or others.
2.2 Certain online services (like games or added-value telecom services) might incur fees, which will be clearly mentioned on related pages. Users who disagree with these charges may choose not to use these services.
2.3 Users understand that Meme Shorts only provides the online service. Any related equipment or associated costs are borne by the user.
3.1 Based on the needs of subscribers to enjoy the Services without interruption and to automatically renew subscriptions, when you subscribe to content, you irrevocably authorize us to automatically charge you for the next subscription period before the end of the current billing period, on a recurring basis. By providing your payment details in your payment account in conjunction with the subscription, you agree to this charge using such payment details. Subscriptions may be billed on a weekly, monthly, annually, or other periodic basis, and you may choose any of the billing periods offered by Meme Shorts.
3.2 Subscriptions will be automatically billed to your payment account before the beginning of each billing period. Subscriber is responsible for any failure to automatically renew due to insufficient funds in the aforementioned payment account.
3.3 The Subscription Content provided to you by Meme Shorts is only available for use in Meme Shorts applications and on its affiliated platforms. Any malicious and illegal activities to separate the Subscription Content from its provider, Meme Shorts, are not included in the services set forth in this Agreement. Meme Shorts reserves the right to periodically verify that your use of the Meme Shorts Services is in compliance with this Agreement. If Meme Shorts determines that your use of any Meme Shorts service is not in compliance with this Agreement, Meme Shorts reserves the right to charge you, and you hereby agree to pay, any damages or losses caused or alleged to be caused by or in connection with such activities.
4.1 Users must be the account holder for the payment method linked, ensuring they haven't infringed on any third-party rights.
4.2 Recharges must be done via methods specified by Meme Shorts. If users recharge using unauthorized systems or illicit methods, Meme Shorts holds no responsibility for compensation.
4.3 Once a recharge is successful, it's deemed complete. Refunds or changes will not be entertained unless the product/service is unusable.
4.4 When using the recharge system, users must double-check their account details. Errors due to user mistakes or misunderstandings are the responsibility of the user.
4.5 Violations of Meme Shorts' user agreement or this recharge agreement may result in account suspension without any compensation.
4.6 With valid user data and evidence, any discrepancies caused by the Meme Shorts recharge system will be dealt with appropriately.
4.7 Virtual products or services obtained via Meme Shorts or its authorized channels will follow instructions or guides provided on Meme Shorts. Meme Shorts does not offer returns or exchanges for virtual products.
4.8 Users should obtain virtual products or services through official channels. Accounts suspected of engaging in illicit recharge activities may be temporarily or permanently suspended.
4.9 All virtual products/services should be obtained through official Meme Shorts channels. Unofficial acquisitions have no legal effect on Meme Shorts, which retains the right to recall virtual products and terminate services if necessary.
5.1 The recharge prices for coins or VIP members of this platform are mainly determined based on the date of opening of VIP members or charging, and the specific charges are subject to the detailed tariffs labeled on the relevant service pages of this platform or the actual provision of such tariffs.
5.2 Once you become a VIP member of the Platform or recharge for coins, you are deemed to recognize the price of the service; after becoming a VIP member of the Platform, the service takes effect immediately.
5.3 You understand and agree that the platform has the right to unilaterally modify and change the charging basis, standard and method of this service according to the adjustment of its own operation policy, and the platform will display the aforementioned modifications and changes on the relevant pages. The Platform will display such modifications and changes on the relevant pages. If you need to obtain or use the Service, please understand the basis, standard, method and scope of authority of the Service in advance.
5.4 After the opening of VIP membership or recharge on this platform, if you are terminated in the middle of the opened service period in accordance with this agreement, you will not be entitled to a refund of the fees paid for the opening of this service or any other form of refund.
6.1 The platform VIP member rights, that is, the platform for the VIP members to provide specialized services, in the VIP membership period, you can enjoy the platform free of charge, free of advertising all the film sources in the year/month/week. For people who recharge coins on Meme Shorts, you can use the coins to unlock the episodes you choose.
6.2 You understand and agree that the platform has the right to change, cancel or add all or part of the rights and benefits of VIP members according to the market situation. The platform will display the aforementioned changes, cancellations and additions on the relevant pages. You can also check the latest VIP member benefits through the relevant service page of the Platform. At the same time, the platform also encourages you to periodically review the contents of this agreement to better protect your rights and interests.
6.3 The service period of VIP member service is subject to the period that the VIP member chooses and pays the corresponding VIP member fee. After the service period of VIP member service expires, this platform will stop providing VIP member service to you.
6.4 Meme Shorts provides you with the methods to verify your auto-renewal subscription orders, but is not responsible for delivering invoices to you.
6.5 If Meme Shorts successfully charges your payment account for the next billing period, Meme Shorts will record the payment on your account and renew your subscription.
6.6 If there is an error in the charge process, Meme Shorts and you should fully cooperate with each other to identify the cause and bear the losses caused by their own faults. If the losses are caused by the two parties unequally, the two parties shall bear the corresponding responsibilities according to the degree of fault. If the loss is caused by the common fault of the two parties, but they cannot distinguish their faults, the two parties shall share the responsibility equally.
6.7 Meme Shorts may change or modify the relevant service content, rules and terms of this agreement in accordance with its business development or technological upgrades, etc., and Meme Shorts will notify users of the relevant changes or modifications by posting on the relevant pages of the application or website, e.g., we will provide you with a prominent notice as appropriate under the circumstances, but is not obligated to notify users separately. If you do not agree to any such changes, you may cancel your previously purchased service and terminate your use of Meme Shorts. Your continued use of the Meme Shorts Services following the posting of changes will constitute your acceptance of those changes.
6.8 You may choose whether or not to cancel the Service. If you choose not to cancel, it is deemed that you agree to Meme Shorts's attempts to charge you for the next billing period according to certain rules. Once the charge is successful, Meme Shorts will renew your subscription for the next billing period.
6.9 If the price of the Service changes before/at the time of automatic renewal, the current effective price will apply.
6.10 Meme Shorts has the right to change the price for its services, and change the price and billing period for the paid subscriptions according to business needs or market changes, etc., and will notify you of any price changes by posting them on the relevant pages.
7.1 This agreement will be effective after you choose to accept the agreement or use the service, and will terminate when you terminate the service or cancel the subscription.
7.2 You have the right to terminate the service at any time in the account settings. Meme Shorts will stop providing the service for you after the termination.
7.3 If you cancel your payment or paid subscription and/or terminate any of the service before the end of the current subscription period, we will not refund any subscription fees already paid to us.
8.1 Meme Shorts won't disclose or provide user data to third parties except under conditions in clause 8.2.
8.2 Meme Shorts may collaborate with third parties to offer services. If these third parties uphold equivalent privacy standards, Meme Shorts may share user data with them.
8.3 Without compromising the privacy of individual users, Meme Shorts may analyse its entire user database for commercial purposes. Despite our best efforts, Meme Shorts cannot guarantee absolute data security.
9.1 Meme Shorts does not guarantee that:
10.1 In the event of system maintenance or upgrades that require the temporary suspension of online recharge services, Meme Shorts will make efforts to notify users in advance. In order to facilitate you to be informed of the relevant information of the Platform, you should agree that the Platform has the right to notify you through one or more of webpage announcement, page prompt, pop-up window, message notification, public notification, or user reserved cell phone text message, and such notification shall be deemed to have reached the user on the date when it is sent by the Platform. If multiple methods of notification co-exist, the time of delivery shall be the earliest of the above methods.
10.2 Meme Shorts reserves the right to interrupt or terminate the network services provided under this agreement at any time without notice to the user if any of the following circumstances occur:
10.3 Apart from the scenarios mentioned above, Meme Shorts also reserves the right to interrupt or terminate part or all of the online recharge services without prior notice. For such service interruptions or terminations, Meme Shorts is not obliged to bear any responsibility towards the user or any third parties.
11.1 Users agree to protect and uphold the interests of Meme Shorts and other users. If a user violates any applicable laws, regulations, or terms of this agreement, resulting in losses for Meme Shorts or any third parties, the user agrees to bear the ensuing damages and compensation responsibilities.
12.1 All notifications under this agreement can be made via email, or conventional mail，webpage announcement, page prompt, pop-up window, message notification, public notification, or user reserved cell phone text message. Such notifications are considered delivered on the day of dispatch.
13.1 If one party breaches the agreement, the other party has the right to obtain compensation through the dispute settlement method agreed by both parties.
14.1 These Terms are governed by the corresponding national laws of each country, without considering the principle of conflict of laws. In the event of any conflict between these Terms and the laws of each country, the provisions of the national law shall prevail. In such a case, the relevant content shall be modified or reinterpreted in accordance with the provisions of the law, and the validity of the rest of these Terms shall remain unchanged. Any dispute arising out of or in connection with these Terms shall be submitted to the International Economic and Trade Arbitration Commission ("IETAC") for arbitration in accordance with its rules in force at the time. The language of arbitration shall be English, and the arbitral tribunal shall consist of three arbitrators. The arbitral award shall be final and binding on the parties.
